Terms of Service

By accessing or using Templo ("the Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using the Platform. These Terms constitute a legally binding agreement between you and Templo.

• You must be at least 18 years old to use Templo
• By using the Platform you represent and warrant that you are 18 or older
• If you are under 18, you may not use the Platform under any circumstances
• You must have the legal capacity to enter into a binding contract in your jurisdiction

• You must create an account to purchase or publish templates
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activity that occurs under your account
• You must provide accurate, current, and complete information when creating your account
• You must notify us immediately of any unauthorized use of your account
• We reserve the right to terminate accounts at our discretion

You are solely and fully responsible for all activity that occurs under your account, whether or not you authorized it. This includes purchases made, content uploaded, images generated, and templates published. You must keep your account credentials confidential and must not share your password with anyone. You agree to immediately notify us through the feedback button if you suspect any unauthorized access to your account. Templo will not be liable for any loss or damage arising from your failure to keep your account secure. You may not transfer your account to anyone else. You may not create a new account if we have previously suspended or terminated your account without our explicit written consent.

By uploading photos, creating content, or generating images on Templo, you retain ownership of your original content. However, you grant Templo and our affiliates a worldwide, royalty-free, sublicensable, and transferable license to host, store, cache, use, display, reproduce, and process that content solely for the purpose of operating, providing, and improving the Platform. This includes the right to pass these rights to our service providers (Supabase, OpenAI, Google, xAI) solely for the purpose of providing the service. This license ends when you delete your content or close your account, except where retention is required by law or for fraud prevention.

For any content you make publicly available on Templo (such as published templates and generated images displayed on your profile), you grant Templo an additional right to display, promote, and showcase that content for marketing and promotional purposes. You will not be entitled to any compensation if your publicly shared content is used by us for promotional purposes.

Templo is a marketplace that connects creators who build AI image generation templates with users who purchase and use those templates. We facilitate the transaction but are not responsible for the content of templates or the results of AI generation.

All Sales Are Final. By completing a purchase on Templo you acknowledge and agree that all sales are final and non-refundable once an image has been successfully generated. You will not be entitled to a refund because you are dissatisfied with the result, because the image does not meet your expectations, or for any other reason once a successful image has been delivered to you.

Automatic Refunds for Failed Generation Only. A full automatic refund will be issued only in the following circumstances, both of which require that no image was successfully produced:

• AI image generation fails due to a technical error before any image is produced
• The AI safety system rejects the generation request before any image is produced

If a successful image is delivered to you, no refund will be issued under any circumstances, including dissatisfaction with image quality, likeness, or style.

• All purchases are processed securely through Stripe, a third party payment processor
• Prices are set by creators and displayed clearly before purchase
• By completing a purchase you authorize us to charge your payment method
• Templo charges a 20% platform fee on each transaction
• Creators receive 80% of each sale as their payout
• We reserve the right to change pricing and fees at any time with notice

• AI image generation results vary and are not guaranteed to meet your expectations
• The quality of results depends on input photo quality, the template, and the AI model used
• AI models may occasionally reject requests due to safety filters — if a rejection occurs before any image is produced, a full automatic refund will be issued; if an image is successfully generated no refund will be issued
• Generated images may not perfectly resemble the people in uploaded photos
• We use third party AI services including OpenAI, Google, and xAI to generate images
• By using the Platform you acknowledge that your inputs are processed by these third parties
• We do not guarantee the accuracy, quality, or appropriateness of generated images

Templo allows users to upload photos containing human faces for AI processing. By uploading a photo you represent and warrant that:

• You own the photo or have explicit permission from every person visible in it
• Every person visible in the photo has consented to their image being processed by AI
• You are not uploading photos of minors under any circumstances

Face photos are processed by third party AI services and stored in our secure database. You take full legal responsibility for any photos you upload. Templo is not responsible for unauthorized use of someone else's likeness. We reserve the right to remove any uploaded content at our sole discretion.

Camera Access

Templo may request access to your device's camera to allow you to take photos directly within the Platform for use as input images. By granting camera access you understand and agree that:

• Camera access is used solely to capture photos for AI image generation
• We do not record video, store camera feeds, or access your camera without your active use
• You can revoke camera access at any time through your device settings
• Revoking camera access will not affect your ability to upload photos from your photo library instead
• Any photo taken through the camera is treated the same as an uploaded photo under our biometric data and privacy policies

Creators are responsible for all templates they publish on the Platform. By publishing a template you represent and warrant that:

• The template does not infringe any third party intellectual property rights
• The template does not violate any applicable laws or regulations
• The base images used in templates are owned by you or properly licensed
• The template is not designed to generate harmful, illegal, or explicit content

Templo reserves the right to remove any template at any time without notice. Creators are solely responsible for the legality of their templates. Templo is not liable for any claims arising from creator templates.

Payout Schedule

Creators receive payouts on a daily basis. Earnings from template sales are transferred to the creator's connected bank account every day, subject to the minimum payout threshold.

Minimum Payout Threshold

Creators must accumulate a minimum of $5.00 in earnings before a payout is initiated. Earnings below this threshold are carried forward to the next payout cycle until the minimum is reached.

Platform Fee

Templo retains 20% of each template sale as a platform fee which covers payment processing costs and platform operations. Creators receive 80% of each sale price.

Refund Policy for Creators

Refunds are only issued when AI generation fails technically or is rejected by the AI safety system before an image is produced. Successful generations are non-refundable. If a refund is issued due to a failed generation, the creator's 80% earnings from that transaction will be clawed back and the creator will not receive payment for that sale.

Account Suspension and Payouts

Payout treatment upon account suspension depends on the severity of the violation:

• Minor violations such as unpublished templates or account warnings — any earned unpaid balance will continue to be paid out on the normal daily schedule
• Serious violations such as fraud, illegal content, or repeated abuse of platform policies — all unpaid earnings will be frozen during investigation. If the creator is cleared the funds will be released. If the violation is confirmed the funds will be forfeited to Templo.

Failed Payouts

Creators are solely responsible for maintaining accurate and current bank account information in their Settings. If a payout transfer fails due to incorrect or closed bank account information:

• Stripe will automatically retry the transfer for several days
• Templo will notify the creator by email to update their bank account information in Settings
• Funds will be held for up to 60 days while the creator resolves the issue
• After 60 days any unclaimed funds will be forfeited to Templo
• Templo is not liable for any losses resulting from a creator's failure to maintain accurate bank account information

Taxes

Creators are independent contractors and are not employees of Templo. Creators are solely responsible for reporting and paying all applicable taxes on their earnings in their jurisdiction. Templo does not withhold taxes from creator payouts. US-based creators who earn $600 or more in a calendar year will receive a 1099 tax form as required by US law. International creators are responsible for complying with their own country's tax laws and regulations. Templo requires creators to submit basic tax information before their first payout is processed. Failure to provide accurate tax information may result in withheld payouts until the information is provided.

You agree not to use Templo to:

• Generate explicit, pornographic, or sexually suggestive content
• Generate content that depicts minors in any inappropriate way
• Generate content that harasses, defames, or harms any individual
• Upload photos of people without their explicit consent
• Impersonate any person or entity
• Generate content that incites violence, hatred, or discrimination
• Violate any intellectual property rights
• Attempt to circumvent AI safety systems
• Reverse engineer, hack, or exploit the Platform
• Use the Platform for any illegal purpose
• Generate content that violates the terms of our AI providers (OpenAI, Google, xAI)

Templo reserves the right, but not the obligation, to review, monitor, moderate, or remove any content on the Platform at any time and for any reason, including but not limited to:

• Content that violates these Terms or any applicable law
• Content that we determine in our sole discretion to be harmful, offensive, or inappropriate
• Content that infringes any third party intellectual property rights
• Content generated by AI that violates our content policies
• Content reported by other users

We may act without prior notice and we will not be liable to you for any content removed. You remain solely responsible for all content you upload, generate, or publish on the Platform regardless of whether we review it. We do not guarantee that we will review all content and our failure to remove content does not constitute approval or endorsement of that content.

If your content or account is removed or suspended, you may appeal by contacting us through the feedback button within 30 days of the action. We will review appeals in a timely manner and notify you of our decision.

• Images you generate are owned by you, subject to the terms of the AI providers used
• Template prompts and designs are owned by their respective creators
• Templo retains all rights to the Platform, branding, technology, and infrastructure
• You may not reproduce, distribute, or create derivative works from Templo's content without permission
• If you believe any content on the Platform infringes your copyright, contact us immediately

Ownership of Prompts

Creators retain full ownership of the prompts they write and publish on Templo. By publishing a template, creators grant Templo a limited, non-exclusive license to execute their prompts solely for the purpose of generating images when users purchase and use their templates. This license does not transfer ownership of the prompt to Templo or to any user.

Protection of Creator Prompts

Templo takes the following measures to protect creator prompts:

• Prompts are never displayed, shared, or made accessible to users or any third party
• Prompts are executed exclusively server-side and never pass through a user's browser or device
• Prompts are stored with Row Level Security — only the creator and Templo administrators can access them
• No feature exists to export, copy, download, or reverse engineer a creator's prompt
• Any attempt to intercept, extract, or reproduce a creator's prompt is a violation of these Terms and may result in immediate account termination and legal action

Prohibited Prompt Content

Creators are solely responsible for the content of their prompts. Templo does not review, verify, or approve prompts before publication. By publishing a template, creators represent and warrant that their prompts:

• Do not infringe any third party intellectual property rights including copyrights, trademarks, or trade secrets
• Do not violate any applicable laws or regulations
• Do not contain instructions designed to generate harmful, illegal, explicit, or deceptive content
• Do not attempt to circumvent the safety systems of any AI model

Templo's Limited Role

Templo acts solely as a technical intermediary that executes creator prompts on behalf of users. Templo does not write, review, modify, or control the content of any creator's prompt. As such:

• Templo is not responsible for the content, quality, accuracy, or appropriateness of any prompt published by a creator
• Templo is not responsible for any images generated as a result of a creator's prompt
• Templo is not liable for any intellectual property infringement, defamation, privacy violation, or other harm caused by a creator's prompt or the images generated from it
• Creators are solely and fully liable for any legal claims arising from their prompts or the images generated from those prompts

Generated Image Ownership and Intellectual Property

The intellectual property status of AI-generated images is subject to evolving laws and the terms of the AI providers used. By using Templo you acknowledge and agree that:

• Templo makes no guarantee or representation regarding the copyright status of any generated image
• Generated images may be subject to the terms and conditions of the AI providers used including OpenAI, Google, and xAI — you are responsible for reviewing and complying with those terms
• Templo is not liable for any intellectual property claims arising from the use of generated images
• You take full legal responsibility for how you use, share, publish, or commercialize any image generated through Templo
• Templo does not warrant that generated images are free from third party intellectual property claims

No Guarantee of Originality

AI-generated images may produce results that are similar or identical to existing works, other generated images, or copyrighted material. Templo does not screen generated images for similarity to existing works and is not liable for any resulting intellectual property claims. Users assume all risk associated with the use of generated images.

If you believe content on Templo infringes your copyright:

• Send a written notice through our feedback system
• Include identification of the copyrighted work and the infringing content
• Include your contact information and a statement of good faith belief
• We will respond to valid DMCA notices promptly

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform you consent to the data practices described in our Privacy Policy.

Templo uses third party services including:

• Stripe — payment processing
• Supabase — data storage and authentication
• OpenAI — AI image generation
• Google — AI image generation
• xAI (Grok) — AI image generation

Your use of the Platform is also subject to the terms and privacy policies of these third parties. We are not responsible for the practices of third party services.

• The Platform is provided "as is" and "as available" without warranties of any kind
• We do not warrant that the Platform will be uninterrupted, error-free, or secure
• We do not guarantee the quality, accuracy, or appropriateness of AI-generated images
• We are not responsible for how you use generated images
• AI generation results are unpredictable and we make no guarantees about output

To the maximum extent permitted by law:

• Templo shall not be liable for any indirect, incidental, special, or consequential damages
• Our total liability to you for any claims shall not exceed the amount you paid us in the last 30 days
• We are not liable for damages resulting from your misuse of the Platform
• We are not liable for the actions of creators or other users
• We are not liable for the output of AI models

You agree to indemnify and hold harmless Templo and its officers, directors, and employees from any claims, damages, or expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third party rights
• Content you upload or generate on the Platform

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution First

Before filing any legal claim, you agree to contact Templo through the feedback button and provide a written description of your dispute. We will attempt to resolve the dispute informally within 60 days. If the dispute is not resolved within 60 days, either party may proceed to arbitration as described below.

Binding Arbitration

You and Templo agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform that is not resolved informally will be resolved by binding individual arbitration. This includes all claims whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory. The arbitration will be conducted by a single neutral arbitrator. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

YOU AND TEMPLO AGREE THAT ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this class action waiver is found unenforceable, then the arbitration agreement shall be null and void with respect to that proceeding.

Jury Trial Waiver

YOU AND TEMPLO WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO A TRIAL BY JURY. All claims and disputes will be resolved by an arbitrator, not a judge or jury.

Opt Out Right

You may opt out of this arbitration agreement by notifying us in writing within 30 days of first agreeing to these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. Send your opt out notice through the feedback button. If you opt out of arbitration, you do not opt out of the class action waiver.

Exceptions

Nothing in this arbitration agreement prevents either party from seeking emergency injunctive relief from a court to prevent irreparable harm pending arbitration, or from bringing claims in small claims court if the dispute qualifies.

Survival

This arbitration agreement survives termination of your account or these Terms.

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through binding arbitration before resorting to litigation.

We reserve the right to modify these Terms at any time. We will notify users of significant changes. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion.
